It works, I play GM for the most part and I can noticeably discern between players who use breath down and those who don't. If you have headphones and they are close by, then yes, you can still hear the ghost. However, if they aren't that close by or if the GR team is spam firing you can easily sneak up on the lone GR player. So yes, it does work pretty well.
It can still be countered by headphones and a good soundcard, however.

they should add slippers for zp so you cant hear them running xD
As said before, if you have a good set of quality headphones like the Sennheiser PC350's, you can easily hear a ghost close by or running up to get you.
I forgot to note about soundcards to. Combine a good soundcard like an Auzentech or an X-Fi with a good set of headphones and there is definantly no way you cannot hear a ghost coming up on you. Even with gunfire a good soundcard/headphone mix and an experienced player can still determine the direction of fire and the relevant location of the ghosts.
Either way, if a teammate dies, note his location on the map, you see his dead body or gun on the floor, try listening to a ghost.
It's basic common sense which all BL players seem to forget when it comes to those of us who are experienced GR players. Believe it or not, not all GR players are n00bs.
The only way to honestly have a chance in GM mode against experienced GR players is to use good tactics and strategies, no matter what a player may equip (breath/footstep sound reduction, axe, shovel, body armor) it won't matter if he just runs around pointlessly.

LOL so whenever they hold shift their HP goes down slowly, and the screen goes dark. -
i notice a pretty far distance gap when a ghost does not use breath down. i was in B and heard a ghost ALL THE WAY FROM GR spawn ramp. it drove me mad, i couldnt find him and it was because he was so far away lol. That was most likely a map glitch tho....anyway, normally i have to be say...20 in game feet from a ghost to hear them before i start searchin the area with bullets. With breath down i have to be within like...10 in game feet, which then they can just run and right click with the axe/shovel, insta-kill unless i get off a reflex shot [reflex shots are where your hand just reacts and headshots them, VERY cool to do on the xbox360 when you are surprised] Lil story ^_^ I was playing bad company with my dormmate and he snuck up on me and popped out firing, i spun around and shot him in the head with the sniper XD
