Ping Problem/Fps Problem

Windows 7 SP1 64 bit
Dual Core 2.3 ghz
4 GB RAM

Ping spikes horribly. It goes from 103-120 Normal, to 2-3-400 and even to 5k ping. Been on CF since Beta and no problems. Lately, however, it has been. When I spike, I FPS lag, going from 60 fps, to around 8.

Help please...
